Leading Asset Management Company to Expand Novell's Award-Winning ZENworks Suite

SALT LAKE CITY, BrainShare(R) 2005, March 23 /PRNewswire/ -- Novell (Nasdaq: NOVL) today announced it has signed a definitive agreement to acquire Tally Systems Corp. of Lebanon, N.H., a leading expert in IT asset management solutions, to expand its Novell(R) ZENworks(R) systems management offering. Tally Systems offers a set of integrated tools with discovery and inventory, license management, and software usage and trend analysis capabilities. As a result, customers benefit from a powerful management platform to track systems, information and assets across the enterprise, as well as enable compliance with software licenses and government regulations, such as the Sarbanes Oxley Act.

Novell expects to close the transaction by the middle of April. Terms of the transaction were not disclosed.

"The regulatory compliance necessary in today's business environment demands accurate tracking and reporting of IT assets," said Novell Chairman and CEO Jack Messman. "Bringing together Tally Systems' asset management with Novell's change and configuration management gives companies a powerful method of ensuring compliance, reducing software costs and preparing for software audits."

Tally Systems President and CEO Ted Jastrzembski said, "Novell's acquisition of Tally Systems brings together industry-leading resource management and asset management technologies. We're delighted to join the Novell family and bring even more value to Novell's customers." About ZENworks
